Delivery Time
Any indication or confirmation of delivery dates by DNP is subject to correct and timely self-supply with all basic substances and ingredients required for the production of the goods. This does not apply if DNP has expressly agreed to a fixed-date transaction. DNP will inform the customer immediately of the unavailability or delayed availability of the goods or supplies. The burden of proof that DNP is responsible for a breach of duty in connection with procurement lies with the customer.
Compliance with DNP’s delivery obligations requires the timely and proper fulfillment of the customer’s obligations. The defense of non-performance of the contract remains reserved.
Partial deliveries are permitted.
In the event of a delivery delay, the customer may only withdraw from the contract with respect to the unfulfilled part and only after setting a grace period of at least 14 working days in writing. A grace period is not required if the delivery date was expressly agreed as fixed, if DNP has expressly refused performance, or if the customer proves that they no longer have an interest in the delivery due to the delay.
In cases of force majeure, strikes, lockouts, or similar unforeseen events that hinder the execution of an order, DNP is not bound to the agreed delivery time for the duration of the disruption.
